1. Acceptance of Terms

By installing or using Easy Upsell (the "App"), you ("Merchant" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

These Terms apply to all users of Easy Upsell. Easy Upsell is designed to integrate with Shopify and is subject to Shopify's own Terms of Service.

2. Description of Service

Easy Upsell is a Shopify application that enables merchants to display upsell offers to customers after they add a product to their cart. Features include the ability to configure upsell products, optional discount rules, and modal customization.

The App is available under two plans: a Free plan and a paid Pro plan. Plan features and limits are described in Section 3 below.

The App is provided through the Shopify App Store and operates within the permissions granted by Shopify's Partner Program.

3. Plans, Billing, and Downgrade Policy

Free Plan: The Free plan is available at no cost and allows you to create and maintain up to 3 active upsell offers. Editing existing offers and customizing the upsell modal are not available on the Free plan.

Pro Plan: The Pro plan is available for $19.99 USD per month, billed through Shopify's billing system. The Pro plan includes unlimited active offers, the ability to edit existing offers, and full modal customization. A 7-day free trial is available for new Pro subscribers.

Downgrade and Offer Deactivation: If your plan is downgraded from Pro to Free — whether by canceling your Pro subscription or due to a failed payment — the App will automatically deactivate any active offers exceeding the Free plan limit of 3. The 3 most recently created active offers will remain active; all others will be paused. Deactivated offers are not deleted and can be reactivated by upgrading to Pro again.

Billing through Shopify: All payments are processed by Shopify. We do not store or handle your payment information directly. Subscription management, cancellations, and refund requests are subject to Shopify's billing policies.

4. App Provided "As Is"

Easy Upsell is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free from security vulnerabilities.

We make no guarantees regarding the increase in revenue, conversion rates, or any specific business outcome resulting from use of the App. Results will vary based on your store, products, and customer base.

5. Merchant Responsibilities

As a merchant using Easy Upsell, you are solely responsible for:

  • Configuring upsell offers accurately, including correct pricing and discount amounts.
  • Ensuring that your use of the App complies with all applicable laws and regulations in your jurisdiction.
  • Ensuring that offers displayed to customers are truthful, not misleading, and consistent with your store's policies.
  • Maintaining an active, valid Shopify store in good standing.
  • Any customer disputes or refund requests arising from upsell offers you configure.

We are not liable for errors in your offer configuration or for any consequences arising from misconfigured upsells.

6. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any aspect of Easy Upsell at any time, with or without notice. This includes changes to features, pricing plans, or the App's availability in the Shopify App Store.

We will make reasonable efforts to notify merchants of significant changes. Continued use of the App after such changes constitutes acceptance of the updated service.

7. Acceptable Use

You agree not to use Easy Upsell to:

  • Display fraudulent, deceptive, or illegal offers to customers.
  • Violate any applicable laws, regulations, or Shopify's policies.
  • Attempt to reverse-engineer, decompile, or otherwise tamper with the App.
  • Interfere with the App's infrastructure or the experience of other merchants.
  • Use the App in any way that could harm, disable, or overburden our servers.

8. Suspension and Termination

We reserve the right to suspend or revoke access to Easy Upsell at our discretion if we determine that you have violated these Terms, engaged in fraudulent activity, or misused the App in any way.

You may stop using the App at any time by uninstalling it from your Shopify store. Upon uninstallation, our access to your store data will be immediately revoked.

9. Intellectual Property

Easy Upsell, including its interface, code, and branding, is our proprietary intellectual property. These Terms do not grant you any ownership rights in the App. You may use the App solely as permitted by these Terms for the purpose of operating your Shopify store.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Easy Upsell and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising from your use of or inability to use the App.

Our total aggregate liability to you for any claims arising from these Terms or your use of the App shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim, or $50 USD, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Easy Upsell and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation before pursuing formal legal action.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of Easy Upsell after any changes constitutes your acceptance of the revised Terms.
